By accessing and using Textly (the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this Service.

2. Description of Service

Textly provides a voice-to-text transformation platform ("Service") that enables users to record or upload audio, transcribe it using AI, and transform messy voice notes into polished, structured text. Features include AI-powered enhancement, multiple output styles, 50+ language support, and note storage. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. When creating an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account and password.

3.2 Account Responsibilities

• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• You must not share your account credentials with others
• You must be at least 18 years old to create an account

4. Subscription and Billing

4.1 Subscription Plans

4.2 Payment Terms

• No refunds are provided for partial months or unused portions
• You will retain access to paid features until the end of your billing period

5. Acceptable Use Policy

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Textly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain all rights to the content you submit to the Service, including your voice recordings and the resulting transcribed and enhanced text. By submitting content, you grant us a limited, non-exclusive license to process your audio for the sole purpose of providing transcription and enhancement services. Your original audio is never stored—only the resulting text is saved to your account.

8. Disclaimers and Limitation of Liability

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

8.2 Limitation of Liability

To the maximum extent permitted by law, Textly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or personal information
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted to or through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

9. Indemnification

You agree to indemnify, defend, and hold harmless Textly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
